PURPOSE: An encoding and decoding apparatus using phase information and a residual signal, and a method thereof are provided to restoring a down-mixed channel signal near to an original signal based on phase signal and a residual signal. CONSTITUTION: A parameter encoding unit(202) extracts and encodes a space parameter associated with phase information for an N number of channel signals. A down-mixing unit(203) down-mixes the N number of channel signals to an M number of channel signals by using the space parameter. A residual signal encoding unit(204) encodes the residual signals related to the N number of channel signals. A channel signal encoding unit(205) encodes the M number of the down-mixed channel signals.
