PROBLEM TO BE SOLVED: To provide an exhaust-duct protection device easily applied to an existing exhaust-duct and having no bad effect on the performances of a gas-turbine compound power generation plant, and the gas-turbine compound power generation plant including the exhaust duct protection device. SOLUTION: The exhaust duct protection device 7 includes a cooling pipe 119 attached on the inner surface of a duct 111, a heat insulating material 121 attached so as to surround the cooling pipe 119, and an insulating plate 123 covering the heat insulating material 121 for preventing the scatter of the heat insulating material 121. The device is attached on the inner surface of the exhaust duct 63 including the duct 111 leading exhaust gas discharged from a gas-turbine to an exhaust heat recovery steam generator, and heat insulating material 113 attached on the outer wall of the duct 111, and protects the duct 111 from exhaust gas.
