PROBLEM TO BE SOLVED: To provide excellent magnetic powder for a magnetic recording medium achieving both of magnetic characteristics and oxidation stability, and to provide the magnetic recording medium using the powder. SOLUTION: A magnetic powder manufacturing method includes: after performing an oxide film formation process using oxygen, performing gentle gas-phase activation processing in gas having activity, such as CO or H<SB>2</SB>having reduction capability; and next, by performing oxidation processing again, changing the state of the oxide film. Also, the magnetic powder mainly generated by the method includes an oxidation-resistant oxide coating film in which an oxygen bound state observed by ESCA is shifted to a low energy side.
