PROBLEM TO BE SOLVED: To provide an electronic apparatus which suppresses deterioration in mechanical strength of a case member while improving shielding effects of the case member. SOLUTION: The electronic apparatus includes: a housing 2; a circuit board 70 which is disposed inside the housing 2 and in which a reference potential pattern 73 is formed on one surface 72 and an electronic component 71 is disposed; a conductive case member 60 which is disposed so as to cover the electronic component 71 on a side of the one surface 72 of the circuit board 70 and has a counter part 63 disposed facing the reference potential pattern 73; and a seal material 100 which is configured in an elastic deformable manner and has conductivity. The counter part 63 has a contact portion 64 coming into contact with the reference potential pattern 73 and a recessed portion 65A which is recessed away from the circuit board 70 in a thickness direction of the circuit board 70, and the seal material 100 is disposed between the recessed portion 65A and the reference potential pattern 73, and electrically connected to the recessed portion 65A and the reference potential pattern 73.
