<P>PROBLEM TO BE SOLVED: To provide an electro-optical device which reliably prevents an effect of electrostaticity on a driving circuit and receives no constraint on the structure, and to provide an electronic apparatus provided with the electro-optical device. Ž<P>SOLUTION: The electro-optical device includes an electro-optical panel 20 which includes: a pair of substrates 21, 22 facing each other across an electro-optical substance; and an extension part 30 extending outwards from the other side substrate 21, the extension part being formed at one side substrate 22, wherein the driving circuit 31 for driving the electro-optical panel 20 is arranged at the extension part 30, a circuit substrate 32 is connected to the driving circuit 31, and a ground layer 35 is formed in an area that is not planarly superimposed on the driving circuit 31, of the circuit substrate 32.
