PROBLEM TO BE SOLVED: To provide a vibration damping device capable of obtaining sufficient strength while reducing the weight, and sealing a joint section between a vehicle side mounting member and a vehicle body panel without increasing a manufacturing man-hour. SOLUTION: The vibration damping device 10 includes the vehicle body side mounting member 12 having an opening through which a piston rod 1 passes through, a rod upper side mounting member 14 and a rod lower side mounting member 16 disposed at upper and lower parts of the vehicle body side mounting member 12, upper and lower cushion rubbers 18, 20 disposed between the mounting members 14, 16 and the vehicle body side mounting member 12, and upper and lower holding members 34, 35 for holding the upper and lower cushion rubbers 18, 20. The vibration damping device 10 is mounted onto a vehicle body panel 2 by fitting the upper side holding member 34 into a mounting hole 4. The upper and lower holding members 34, 35 are made of resin or rubber, and integrally formed with the vehicle body side mounting member 12 made of metal. A contact surface 36 of the upper side holding member 34 is brought into contact with an inner peripheral wall 4a of a mounting hole 4 when deformed radially outward so as to restrict the deformation.
