<P>PROBLEM TO BE SOLVED: To provide a light quantity adjusting device and optical equipment suppressing variation in image quality. Ž<P>SOLUTION: This light quantity adjusting device 1 comprises a substrate 80 having an aperture 81, linear-motion blades 30 and 50 supported linearly movably on the substrate 80, and a rocking blade 60 rockably supported on the substrate 80. The linear-motion blades 30 and 50 and rocking blade 60 evacuate from the aperture 81 to form a full open state. The linear-motion blades 30 and 50 cover the aperture 81 to form a full close state. The rocking blade 60 has a diaphragm aperture 61 with a diameter smaller than that of the aperture 81, and the aperture 81 and diaphragm aperture 61 overlap to form a small diaphragm state.
