PROBLEM TO BE SOLVED: To provide a sound-proofing material with a simple structure having equal sound-proofing properties to conventional ones. SOLUTION: A fibrous sound absorbing layer 2 is laid in a casting mold, and a foamable resin raw material is poured and foamed on its upper face side to impregnate the foamable resin raw material in the fiber of the fibrous sound absorbing layer 2. By compounding them, a sound insulating layer 3 is formed at the interface of a foamable resin sound absorbing layer 2 and the fibrous sound absorbing layer 1. The sound-proofing material laminating the foamable resin sound absorbing layer 1 and the fibrous sound absorbing layer 2 and interposing the sound insulating layer 3 compounding the resin of the foamable resin sound absorbing layer and the fiber of the fibrous sound absorbing layer on the interface of these sound absorbing layers 1 and 2, is obtained.
