PROBLEM TO BE SOLVED: To provide a bathroom heating device with a ventilating function capable of improving radiating effect of electronic components generating heat in a control unit, and surely suppressing degradation of service life of the electronic components even a constant power distributing state is kept in an operation in a constant ventilating mode. SOLUTION: This bathroom heating device with the ventilating function comprises a heating unit for heating a bathroom, and a ventilating unit 3 constituted by receiving a ventilation fan 16 in a ventilation casing 14 communicated with the bathroom and another room excluding the bathroom. The control unit 4 housing a control substrate for controlling the heating unit and the ventilating unit in a substrate box 33 is disposed at a peripheral wall outer side of the ventilation casing 14. The electronic component 36 generating heat, of the control substrate is disposed at a bottom portion 33a side of the substrate box 33, a potting material 39 is charged, and an outer face of the bottom portion 33a of the substrate box 33 is closely kept into contact with an outer side of the ventilation casing 14.
