PROBLEM TO BE SOLVED: To provide a headrest which can be put in a head supporting condition and a storage condition by being inclined from the head supporting condition, can provide a good appearance, is very versatile and prevents the end portion of a skin material from coming off, and to provide a vehicle seat with the headrest. SOLUTION: The headrest has a pillar 1 mounted on the upper portion of a backrest seat S2, front and rear cover members 70 having insertion portions 70d and 70e through which the leg portions 11 of the pillar 1 are inserted, a skin material 9 formed into a bag and covering the front and rear cover members 70, right and left skin stopping cover members 74 and 75 engaging into the insertion portions 70d and 70e of the front and rear cover members 70 and pinching the skin material 9 located on the peripheries of the insertion portions 70d and 70e, and a padding material 8 integrally molded with the skin material 9 and the front and rear cover members 70. The front and rear cover members 70 have an opening portion 70f making the right and left insertion portions 70d and 70e communicate with each other, and the end portions 91 of the skin material 9 located in the opening portion 70f are tucked into the opening portion 70f.
