PROBLEM TO BE SOLVED: To provide a quarternary ammonium salt composition having excellent color stability and storage stability, a method for preparing the same, and a wood preservative comprising the quarternary ammonium salt composition. SOLUTION: A quarternary ammonium salt composition comprising a quarternary ammonium salt (a) represented by formula (1), a specific tertiary amine (b), and an organic acid ester (c) in a specific mass ratio, a method for preparing the same, and a wood preservative comprising the quarternary ammonium salt composition are disclosed. In the formula, R<SP>1</SP>represents an alkyl group or an alkenyl group; R<SP>2</SP>represents an alkyl group, an alkenyl group or a hydroxyalkyl group; R<SP>3</SP>represents an alkyl group or a hydroxyalkyl group; R<SP>4</SP>represents an alkylene group; n is 1 to 5; and A represents a counter ion such as sulfonic acid.
