PROBLEM TO BE SOLVED: To provide a press-forming die having simple structure with a holding force having no risk of fluctuating. SOLUTION: A blank holder 20 is divided into a first blank holder 23 having a fixed bead 21 and a second blank holder 25 having a movable bead 26. A pad 32 having an elastic body 35 is arranged in and opposite to the second blank holder 25. The holding force of the second blank holder is shared by the second bead and a second holder face. As a result, holding force is not concentrated on the second bead, and the wear of the second bead can be considerably reduced. Since the second bead is formed on a part of the second blank holder, displacement of only the second bead with respect to other members does not occur.
