PROBLEM TO BE SOLVED: To provide a counterweight mounting structure and a construction machine equipped with the counterweight mounting structure that can provide the construction machine of high sound insulating performance by reducing noise such as engine noise leaking to the outside of a vehicle body. SOLUTION: The mounting structure 20 of a counterweight 5 comprises a frame structure 21 constituting a swivel base 3 of a hydraulic shovel 1; the counterweight 5 placed thereon; cover parts 31, 32 closing clearances S formed between the counterweight 5 and the frame structure 21; and air shielding parts 33, 34 stuck to the faces, located on the side abutting on the counterweight 5, of the cover parts 31, 32.
