PROBLEM TO BE SOLVED: To provide a new resin composition having good fluidity and dispersion stability of a pigment dispersion, especially useful as a pigment dispersing agent for neutral or acidic carbon, and a method for producing the resin composition. SOLUTION: The resin composition is produced by reacting a petroleum resin obtained by subjecting a hydrocarbon mixture containing≥35 wt.% cyclopentadiene-based hydrocarbon to cationic polymerization, with a phenol-formaldehyde initial condensate, amines having at least one primary and/or secondary amino group in the molecule, and optionally rosins and/or a polyhydric alcohol ester thereof.
