A ventilating apparatus is provided to reduce flowing loss and increase heat transfer efficiency by passing outdoor or indoor air through a heat exchange element uniformly. A ventilating apparatus comprises a case, a heat exchange element installed inside the case, a drain fan sucking indoor or outdoor air into the case, and a passage guide connecting an outlet of the heat exchange element and the drain fan. The passage guide consists of a housing(321), an air foil(323), and a guide duct(322). The housing is contacted with the outlet of the heat exchange element. The air foil, which is formed in the housing, passes sucked indoor or outdoor air into the heat exchange element uniformly. The guide duct is extended to an end of the housing which is adjacent to the drain fan. The passage guide also has a ventilation end for outdoor air and a ventilation end for indoor air. The end of the passage guide attached to the heat exchange element is curved with a predetermined curvature.
