An electro-optical device and a projector are provided to improve the utilizing efficiency of light by reducing the distance between a prism part and a light shielding part so as to decrease the amount of light absorbed by the light shielding part. An electro-optical device comprises a first substrate(3), a second substrate(2), and an electro-optical material disposed between the first and second substrates. A prism part(30) includes an opening portion and is formed at an electro-optical material side of the first substrate to collect a light. A functional layer(34) is formed in the opening portion of the prism part, wherein the functional layer drives the electro-optical material. A first light shielding part(23) is disposed on the second substrate, wherein the first light-shielding part overlaps the prism part when viewed in plan.
