PROBLEM TO BE SOLVED: To provide a multi-layer capacitor capable of controlling an equivalent series resistance easily with excellent accuracy, and to provide its manufacturing method. SOLUTION: The multi-layer capacitor comprises a laminate 10 constituted of alternately laminating a plurality of dielectric layers and a plurality of first and second internal electrodes, and first and second terminal electrodes formed on the laminate 10. The first terminal electrode 1 is electrically connected to the first internal electrodes 21, 22. The first terminal electrode 1 comprises a resistance layer 4 having a resistance rate larger than those of the first internal electrodes 21, 22. The resistance layer 4 covers the ends of the extracting units 25, 26 of the first internal electrodes 21, 22 exposed on a side surface 10a. The resistance layer 4 is provided with a width wider than the extracting units 25, 26 of the first internal electrodes 21, 22, and narrower than the side surface 10a with the first terminal electrode 1 formed thereon.
