PROBLEM TO BE SOLVED: To obtain an ultrafine particle dispersion in which ultrafine particle powder is efficiently dispersed in a high concentration and which has excellent dispersion stability and high general purpose properties as an industrial use and a resin composition comprising the dispersion. SOLUTION: The ultrafine particle dispersion comprises a suspension containing ultrafine particle powder having≤100nm average primary particle diameter, a dispersion medium as a solvent for the ultrafine particle powder, a dispersant for keeping the dispersion stability of the ultrafine particle powder and a surface treating agent for providing the ultrafine particle powder with affinity for the dispersing agent. The resin composition having an excellent dispersion state even in filling of ultrafine particle powder in a high concentration is obtained by melting and kneading the ultrafine particle dispersion with a resin.
