PROBLEM TO BE SOLVED: To provide a content delivery system, a software update method and a terminal device, in which connection quality or service quality in a tree structure can be stabilized. SOLUTION: In this content delivery system, when delivering content data and software data, a downstream terminal device confirms software of an upstream terminal device, and when the upstream terminal device is operated in a new version, the software of the downstream terminal device is successively updated, whereby traffic concentration of communication line is avoided.
