PROBLEM TO BE SOLVED: To provide a panel structure having excellent construction property capable of performing the vibration damping and noise insulation in an extensive range from the low frequency to the high frequency. SOLUTION: A restrictive layer 3 consisting of a hard foam material having a large number of closed cells 30 inside via a visco-elastic layer 2 is mounted on a panel body 1. In the restrictive layer 3, a hard foam material molded in a desired shape is affixed thereto, and a method of performing foaming and curing by the heating after affixing a raw material, and a method of spraying the raw material on a visco-elastic layer 2, and performing the foaming and curing by a chemical reaction can be used.
