A method for preparing a resin composition is provided to obtain a coating composition having improved adhesion of a coating film, water resistance, shelf stability, drying property and pigment dispersibility. The method for preparing a resin composition comprises the steps of: (A) forming a polyurethane oligomer having a terminal isocyanate group and an internal anionic functional group; (B) forming a chain extending agent by reacting an amine of the following formula 1 with a carbonate of the following formula 2; (C) reacting the polyurethane oligomer with the chain extending agent to form a prepolymer; and (D) diluting and neutralizing the prepolymer. In the formulae 1 and 2, each of R1-R3 independently represents alkylene.
