PROBLEM TO BE SOLVED: To realize a differential amplifier and an analog/digital converter suitably operable even with a low power voltage. SOLUTION: Replicas RP functioning as controllers are provided for first stage differential amplifiers A1-An in comparators CP1-CPn of an analog/digital converter CV, and the replicas RP apply control signals S4 to change the threshold voltages of loads MISFET in the differential amplifiers A1-An according to a substrate bias effect. This lowers the threshold voltages of the loads MISFET in the differential amplifiers A1-An, thereby reducing the proportions of the threshold voltages in a power voltage. Thus, the threshold voltages and overdriving voltages of the MISFET forming differential pairs in the differential amplifiers A1-An are ensured enough to keep in-phase output signals at suitable values even with a lower power voltage, thereby to realize a suitably operable differential amplifier.
