A method and a device for offering software upgrade between STBs(Set-Top Box) are provided to quickly and conveniently implement the software upgrade by synchronizing a target STB requiring the software upgrade with the STB including a program of a new version. A source STB is equipped with a software upgrade program. The target STB downloads an execution program from the source STB by connecting to the source STB through a serial cable. The source STB includes a key input part(12), a software manager(16) managing the execution program by including a software upgrade program, a software transmitter(18) transmitting the execution program to the target STB, a controller(14), and a transmitting port(10) installed to an output port of the software transmitter and receiving the serial cable. The controller makes the execution program in the software manager to the target STB through the software transmitter by responding to a software upgrade key signal of the key input part.
