PROBLEM TO BE SOLVED: To provide a thermally latent catalyst having an excellent latent property, and to provide a thermosetting resin composition. SOLUTION: This thermally latent catalyst obtained by reacting a diimine compound (A) represented by the following formula (1) with a metal salt (B) represented by the following formula (2). The thermosetting resin composition containing the catalyst. The above-mentioned formula (1) is R<SP>1</SP>-CH=N-R<SP>2</SP>-N=CH-R<SP>1</SP>, wherein R<SP>1</SP>is a 3 to 15C aliphatic or aromatic hydrocarbon group which may have one or more substituents, and R<SP>2</SP>is a 1 to 10C hydrocarbon group. The formula (2) is MX<SB>n1</SB>, wherein M is zinc, zirconium or titanium; X is a halogen atom, a 2 to 18C acyloxy group or a 6 to 15C phenoxy group which may have one or more substituents, and n1 is an integer of 1 to 4.
