PROBLEM TO BE SOLVED: To provide an automatic cell-culturing device capable of recognizing the state of cells in a good reproducibility on automatizing the cell culture and performing the judgement for subculture in a short time, accurately and automatically. SOLUTION: This automatic cell-culturing device is equipped with a cell-culturing unit, a culture-treating unit, a culturing container-conveying unit, a culturing container-observing unit D, an image-taking unit d2 for taking an observation image at the inside of the culturing container and an image-processing unit E for calculation-processing the taken-in observation image, wherein, the culturing device-observing unit D has a visualization means for the cultured cells, the image-processing unit E is a unit for performing a calculation treatment for separating and extracting information of cell parts existing in the culturing container and information of container parts where the cells are not present, a calculation treatment for calculating the state information of the cells from the above separated and extracted information of the cells and a judging treatment for judging the transfer of the cultured cells in the culturing container to a next treating process based on the calculated state information of the cells.
