PROBLEM TO BE SOLVED: To provide a graft copolymer suitable as a modifier for improving processability of a resin composition and improving impact resistance, weather resistance and appearance of the molded product. SOLUTION: The graft copolymer is obtained by carrying out graft polymerization of a rubber-like polymer (A) with a vinylic monomer (B) and the rubber-like polymer (A) is obtained by carrying out n-stage polymerization (n is an integer of≥2) in which a monomer mixture containing a polyfunctional monomer is polymerized in a first stage and a monomer mixture containing a polyfunctional monomer is polymerized in the presence of a polymer obtained in the previous stage in a second stage or later, and the content C<SB>i-1</SB>of the polyfunctional monomer in the monomer mixture used in (i-1) stage and the content C<SB>i</SB>of a polyfunctional monomer in a monomer mixture used in i-stage satisfies the formula C<SB>i-1</SB>>C<SB>i</SB>(i is an integer of 2 to n).
