PROBLEM TO BE SOLVED: To provide a light-modulating optical element doped with a rare earth metal and/or 4th period transition metal in a high concentration, and regulated with the transmittance or absorbance of a light corresponding to a specific wave length or wave length band. SOLUTION: This light-modulating optical element is provided with that the rare earth metal and/or 4th period transition metal-containing organic and inorganic complex used as the light-modulating optical element is obtained by dispersing at least 1 kind of the rare earth metal and/or 4th period transition metal in an organic polymer, and formed by the complex containing an inorganic dispersed phase of the rare earth metal and/or 4th period transition metal (1) coordinated with another kind of a metal (2) through oxygen and an optically transparent organic polymer. It is preferable that the diameter of the inorganic dispersed phase consisting of the rare earth metal coordinated with the other kind of the metal through oxygen is preferably 0.1-1,000 nm. The ratio of the rare earth metal based on its solid portion, is preferably≤90 wt.% of the total weight of the organic polymer and rare earth metal and/or 4th period transition metal-dispersed phase.
