PROBLEM TO BE SOLVED: To provide a refrigerating system and an air conditioner for a vehicle capable of miniaturizing an accumulator and achieving sufficient heat exchange. SOLUTION: In this refrigerating system 2 wherein a CO<SB>2</SB>refrigerant is circulated in circulating passages 11, 12, 13, 14, 15, 16, 17, a compressor 18, a gas cooler 20, an expansion valve 24 and an evaporator 26 are mounted in the circulating passages successively in the refrigerant flow direction, the accumulator 22 is mounted between the gas cooler and the expansion valve to temporarily store a refrigerant from the gas cooler, and the accumulator comprises a function for exchanging the heat between the refrigerant flow from the gas cooler and the refrigerant flow from the evaporator by countercurrent.
