PROBLEM TO BE SOLVED: To provide a lens barrel advantageous in terms of making the unnatural contrast difference of an image caused by a liquid crystal light control element visually inconspicuous while realizing the miniaturization of an optical system, and to provide an imaging apparatus. SOLUTION: The lens barrel 10 is constituted by including an optical system 14, the liquid crystal light control element 16 and an imaging element 18. A subject image captured by the optical system 14 is transmitted through the element 16 and guided to the imaging element 18. The element 16 presents rectangular plate shape, and is equipped with a liquid crystal layer enclosed between two oriented films and liquid crystal molecules included in the liquid crystal layer and presenting bar shape. The sensor part 1804 of the imaging element 18 has a rectangular image pickup surface 1805. Light guided from the optical system 14 to the imaging element 18 is inclined to be gradually separated from an optical axis as it comes close to the imaging element 18.
