PROBLEM TO BE SOLVED: To provide a differential amplifier maintaining an output voltage at a constant level without being influenced by variation in current driving capability, and also to provide a sense amplifier compensating an offset voltage by using the same. SOLUTION: The differential amplifier is provided with: 1st and 2nd loads connected across a power source and respective 1st and 2nd output terminals; a 1st transistor which is connected across the 1st output terminal and a 1st node and is turned on responding to a 1st input signal; a 2nd transistor which is connected across the 2nd output terminal and the 1st node and is turned on responding to a 2nd input signal; a MOSFET resister which is connected across the 1st node and a 2nd node and varies in the resistance value according to the potential of either the 1st or 2nd output terminal; and a common current source connected to the 2nd node.
