PROBLEM TO BE SOLVED: To hold a tool on a tool holder in a fixed position relationship to a spindle of a machine tool. SOLUTION: A reference groove 15 is formed on either the tool holder 9 or a tool holder fitting part 11, and a positioning pin 16 entering the reference groove is disposed in two or more places on the other thereof. Each positioning pin is formed so that elastic deformation is caused in a portion abutting on one side wall 15a of the reference groove to abut on both side walls 15a, 15b. Elastic deformation is caused in the portion abutting on one side wall 15a of the reference groove in the reference groove so that each positioning pin abuts on both side walls of the reference groove. Thus, the gap between each positioning pin and the reference groove can be eliminated to smoothly replace tools and automatically machine a work so as to improve working accuracy.
