PROBLEM TO BE SOLVED: To provide a light quantity adjusting device which satisfies optical performance and improves film contact strength. SOLUTION: The light quantity adjusting device which adjusts the quantity of light reaching an image plane has: a plurality of aperture blades; and an ND filter unit which is arranged in at least part of an opposite area in the stop aperture formed of those aperture blades. The ND filter unit has: a plastic substrate; a first filter part which is provided on the plastic substrate and formed of a multi-layered film attenuating the quantity of light; and a second filter part which is provided overlapping with the first filter part and formed of a multi-layered film reducing the quantity of light.
