PROBLEM TO BE SOLVED: To provide a surface protecting film which is allowed to have an antistatic layer formed thereon by an application process and shows a sufficiently small amount of electric charge even when an electrically charged due to peeling and friction with a sufficiently low surface resistance value, and a laminate obtained by pasting the surface protecting film to an optical plate such as a polarizer or a phase differential plate. SOLUTION: This surface protecting film (A) has basic laminar composition of a release layer (3), a base film layer (1) and a pressure-sensitive adhesive layer (2). In this film (A), measures are taken to form an antistatic layer (4) between the layers (1), (2) and (3) or form the release layer (3) as a release layer (3<SP>#</SP>) which concurrently serves as the antistatic layer (4).
