PROBLEM TO BE SOLVED: To provide a thermoplastic elastomer composition rich in flexibility, having excellent thermal deformation resistance and molding processability and especially excellent in the compatibility with a resin having a polar group, and a thermoplastic resin composition using the same. SOLUTION: The thermoplastic elastomer composition is obtained by melting a composition containing 5-300 pts.wt. of a rubber softener (b), 0.01-3 pts.wt. of an organic peroxide (c) and 1-80 pts.wt. of a liquid polybutadiene having a hydroxyl group at its terminal to knead the same with 100 pts.wt. of an elastomer (a) prepared by mixing 90% or more of hydrogenated matter (a-1) of the conjugated block of a block copolymer comprising at least two polymer blocks A based on an aromatic vinyl compound and at least one polymer block B based on a conjugated diene compound and >90% of the hydrogenated matter (a-2) in a ratio (a-1)/(a-2) of 5-95/95-5 (wt.%).
