PROBLEM TO BE SOLVED: To provide an aqueous dispersion of a polyester resin that is made up of a low acid value polyester, and forms a resin film excellent in storage stability, adherence to a substrate, water resistance, and solvent resistance, and a process for manufacturing the dispersion. SOLUTION: The aqueous dispersion of the polyester resin comprises a polyester resin with an acid value of≤8 mgKOH/g (A), a basic compound (B), and a compound having the activity of a surface active agent or of a protective colloid (C). The mass ratio of (C) to (A) is (C)/(A)=0.1/100-20/100. In manufacturing the dispersion with phase reversal emulsification, the phase reversal emulsification is conducted at a temperature of≤40°C.
