PURPOSE: A system and method for motion estimation and mode determination are provided to set a candidate vector group of decoded macro-blocks and then estimate motion of a re-encoded macro-block to reduce the quantity of calculations required for motion estimation but improve re-encoding rate. CONSTITUTION: A system for motion estimation and mode determination includes a candidate vector generator(520), a motion vector estimator(530), and a mode determinator(540). The candidate vector generator generates a candidate vector group composed of motion vectors passing the first macro-block among motion vectors of neighboring images existing in sub-GOP identical to the picture including the first macro-block. The motion vector estimator estimates a reference vector of the second macro-block from the candidate vector group with respect to the first macro-block overlapped with the second macro-block and the motion vectors of the overlapped first macro-block. The mode determinator decides the mode of the second macro-block from the reference vector and the mode of the first macro-block.
