PROBLEM TO BE SOLVED: To provide a compact and precise positioning device. SOLUTION: A plug part 27 is protruded from a clamp pallet 1. On the plug part 27, a circular intermediate member 30 which diametrically expands and contracts is movably supported in a vertical direction. A tapered surface 33 of the intermediate member 30 is composed to be taperedly engageable with a positioning hole 23 in a work pallet 2, and the intermediate member 30 is upwardly energized by a disc spring 31. A slide cylinder 79 is inserted into the plug part 27, and a first closing member 86 is abutted on a first valve seat 83 provided on an upper end of the slide cylinder 79 by a first closing spring 87. A cylindrical bolt 91 is fixed on the upper side of the positioning hole 23, and a second closing member 96 is abutted on a second valve seat 93 provided on a lower end of the cylindrical bolt 91 by a second closing spring 97.
