PROBLEM TO BE SOLVED: To provide a tool holder having a device accurately and easily fine- adjusting eccentricity and inclination in the axial center line of a rotary tool or the like and the axial center line of the tool holder. SOLUTION: A hold member 14 comprises a shank 1 having a flange 3 formed by a plane at a right angle to the axial center line, an adjustment ring 7 having in an internal diametric side an annular ring 10 formed with a plane 8 and a recessed spherical surface 9 abutting to the plane of the flange 3, and a spherical flange 17 consisting of a protruded spherical surface 15 loosely fitted to an internal diametric side of the adjustment ring 7 to abut to the recessed spherical surface 9 and a recessed spherical surface 16 concentric to this spherical surface 15. The hold member is characterized by providing a first adjustment screw 12 provided with an almost equal space so as to make a tip end abut to a boss part 6 of the shank 1, a second adjustment screw 20 provided on a circumference of the adjustment ring 7 similarly like abutting to an external diameter of the hold member 14, a first tightening means for fixing the adjustment ring 7 to the shank 1, and a second tightening means for fixing the hold member 14 to the adjustment ring 7.
