PROBLEM TO BE SOLVED: To provide a resin composition for a water-base coating material which is excellent in applicability and can form a coating film excellent in resistances to hot water, alkali, weather, staining, etc. SOLUTION: This resin composition is prepared by the emulsion polymerization of (c) an alkoxysilylated ethylenically unsaturated monomer and (d) an ethylenically unsaturated monomer other than monomer (c) in the presence of (A) a resin dispersion. The resin dispersion (A) is prepared by subjecting a hydrolysis and condensation product obtained from (a) an organosilane which is represented by formula (1): R<1> n Si(OR<2> )4-n (wherein R<1> is a 1-8C organic group; R<2> is a 1-5C alkyl; and n is 1 or 2) or its partial hydrolysis and condensation product and (b) a silyl-group-containing vinyl resin which has hydrolyzable silyl groups or silyl groups having silicon atoms bonded to hydroxy groups and has an acid value of 20-150 mgKOH/g to neutralization followed by water addition or to simultaneous neutralization and water addition.
