PROBLEM TO BE SOLVED: To provide a thin-film capacitor of high reliability where exfoliation of an insulation protective film, deterioration of adhesive strength of a dielectrics layer and infiltration of water content to the inside of a capacitance generating region are prevented. SOLUTION: In this thin-film capacitor, located above a retaining substrate 1, there are arranged a lower electrode layer 3 is formed on a lower surface of the dielectrics layer 2, an upper electrode layer 4 is formed on an upper surface of the dielectrics layer 2, the layers, 2, 3, 4 are covered with the insulation protective film 5, and bump terminals 7a, 7b which are electrically continuous to the electrode layers 3, 4, respectively. The upper electrode layer 4 in the capacitance generating region is protruded to the outside of the capacitance generating region and is bonded to the retaining substrate 1.
