PROBLEM TO BE SOLVED: To provide a modified ethylene polymer excellent in adhesion to polar resins and solvent resistance, and a thermoplastic resin composition containing the same. SOLUTION: The modified ethylene polymer is prepared by grafting (B) 0.01-50 wt.% ethylenically unsaturated monomer having a heterocycle comprising nitrogen, oxygen, and carbon atoms onto (A) an ethylene polymer which is an ethylene homopolymer or a copolymer of ethylene and at least one 3-20Cα-olefin.
