PROBLEM TO BE SOLVED: To provide a risk sharing method that can be beneficial to employee of a start-up company. SOLUTION: The pooling of shares or option is enabled in spite of a restriction on security transfer. This method consists of pooling securities, evaluating the securities and providing participants with stakes in the pool's proceeds based on the evaluation. On the occurrence of exit, securities are sold and proceeds are distributed thereafter. A pool is closed at a predetermined time or upon the occurrence of a predetermined event such as a maximum number of participants. The amount of the securities is limited to encourage loyalty of the employee to the company. |
