PROBLEM TO BE SOLVED: To provide a metathesis catalyst easily synthesizable for industrial use compared with conventional catalyst, having high polymerization activity of cycloolefins and giving a polymer having practically sufficient molecular weight and excellent workability and provide a method for producing the catalyst. SOLUTION: The transition metal complex catalyst is expressed by formula (1) (M is a group 5 transition metal of the periodic table; X1, X2 and X3 are each an alkyl, an aryl or an aralkyl; R1, R2 and R3 are each H, a halogen, an alkyl, an aryl or an aralkyl; and (m) is an integer of 0-3). A metathesis polymer of a cycloolefin is produced by using the catalyst.
