PURPOSE: A thermoplastic resin composition and its preparation method are provided, to control the ratio of two kinds of diene-based rubber latexes and to increase the grafting rate, thereby improving the transparency and the impact resistance. CONSTITUTION: The thermoplastic resin composition comprises 20-40 wt% of a grafted copolymer composition; and 60-80 wt% of a styrene-based resin. The grafted copolymer composition is prepared by adding a monomer mixture(B) comprising 30-40 parts by weight of an alkyl ester methacrylate-based monomer, 5-15 parts by weight of an aromatic vinyl-based monomer and 0-10 parts by weight of an unsaturated nitrile-based monomer, and 0.1-1.5 parts by weight of an initiator(C), to a rubber latex mixture(A) comprising 10-30 parts by weight of a diene-based rubber polymer with a mean size of 0.05-0.2 micrometers and 20-40 parts by weight of a diene-based rubber polymer with a mean size of 0.2-0.5 micrometers, stirring the mixture, and maintaining the temperature of a reactor at 40-80 deg.C for 1 hour or more to graft-polymerize the mixture; and adding the rest of the monomer mixture(B) to the grafted polymer latex continuously or intermittently to graft-polymerize them. Preferably the initiator is a hydroperoxide-based initiator.
