The invention is directed to benzoxazinone derivatives useful as peroxisome proliferator activated receptor gamma (PPARgamma) modulators. Pharmaceutical compositions comprising compounds of the present invention and methods of treating conditions such as NIDDM and obesity are also disclosed.
