PROBLEM TO BE SOLVED: To provide a thermally conductive sheet capable of conducting heat efficiently and its manufacturing method. SOLUTION: The thermally conductive sheet includes metallic particles showing magnetism in the state of being oriented in the direction of the thickness of a sheet substrate in the sheet substrate which is made of high molecular matter with flexibility and whose both surfaces are flat. The method for manufacturing the thermally conductive sheet has stages for forming a sheet forming material layer including the metallic particles showing magnetism in high molecular forming matter to be the high molecular matter by being hardened, for making a magnetic field act on this sheet forming material layer in the direction of its thickness, and for performing hardening processing of the sheet forming material.
