PROBLEM TO BE SOLVED: To simplify a device structure while exhibiting a function as a vibration-proofing mount and a function as an active damper. SOLUTION: When a vibration from an engine is inputted to a vibration- proofing device 10 through a top plate fitting 34, this vibration is transmitted to a rubber elastic body 30 and thereby, the rubber elastic body 30 is elastically deformed. Thereby, the vibration is damped by an action based on an internal friction of the rubber elastic body 30 and a vibration level transmitted from the engine to a car body 12 is reduced. When a vibration from the engine is transmitted to the car body 12 through the vibration-proofing deice 10, a vibration sensor 72 detects a vibration of the car body and outputs a detection signal to a controller 70. The controller 70 receiving the detection signal from the vibration sensor 72 outputs a driving voltage corresponding to a vibration frequency to a directional control valve 56. Thereby, an internal pressure of an air-filling chamber 46 is periodically varied and a diaphragm 45 is axially expanded/shrunk. A mass member 44 vibrates at a frequency corresponding to the vibration frequency at the car body 12.
