PROBLEM TO BE SOLVED: To provide a process for producing a phosphorus-containing epoxy resin excellent in flame retardancy in a manner that a phosphorus compound having at least one P-H bond in the molecule can be efficiently incorporated into the skeleton of an epoxy resin, and side reactions such as three-dimensional crosslinking of epoxy groups can be inhibited. SOLUTION: There is provided a process for producing a phosphorus- containing epoxy resin by reacting an epoxy resin having at least two epoxy groups in the molecule with a phosphorus compound having at least one P-H bond in the molecule in the presence of a reaction catalyst, wherein the equivalent ratio of the epoxy groups to the P-H bonds (epoxy group/P-H bond) satisfies the relationships: (epoxy group/P-H bond)>1, and the reaction catalyst essentially consists of an organic acid salt of zinc.
