PROBLEM TO BE SOLVED: To obtain an exposure adjusting device having both a function as a diaphragm device and a function as a shutter device, and an electronic camera equipped with the same. SOLUTION: This exposure adjusting device is constituted so that a diaphragm aperture may be formed by superposing and arranging plural blade members 21 to 27. In such a case, the members 21 to 27 are constituted of 1st blade groups 21 to 23 and 26 moving respectively to change the area of the diaphragm aperture, and 2nd blade groups 24, 25 and 27 moving respectively to change the area of the diaphragm aperture and shielding the diaphragm aperture formed by plural blade members, and the device is equipped with a blade moving means for moving the 1st and the 2nd blade groups.
