PROBLEM TO BE SOLVED: To obtain a reliable optical encoder that composes an insulation holder for retaining the positioning of a light-emitting device and a second circuit substrate by one structure body. SOLUTION: The optical encoder is equipped with a hollow shaft 15 that is mounted to a body 11 of the encoder via at least two bearings, a rotary slit plate 22 that is mounted to the hollow shaft 15 and has a slit part 22a for shading and transmitting light at an outer-periphery part, a photo detector 23 that detects the light being transmitted through the slit part 22a of the rotary slit plate 22, a first circuit board 41 that mounts the photo detector 23 and an electronic component 43, a second circuit board 42 that is arranged at preset intervals from a first circuit substrate 41 and mounts other electronic components 44, a light-emitting device 21 that applies light to one part of the slit part 22a and is arranged at in a position relationship where the transmission light is received by the photo detector 23, and a holder 3 for retaining the light-emitting device 21 and the second circuit board 42 by one structure body.
